The October sell-off opens a valuation gap just as organic growth and margins improve. The GN Hearing transaction can create an integrated hearing-care group, but its cash cost, 56 million new shares and execution risk are central to the per-share result. A stronger company is not automatically a better investment: the closing balance sheet and real cash conversion must confirm the thesis.
Multiple derivation: July 2026 2027E forward EV/EBITDA evidence of Demant ~11x and Sonova ~12x gives 11.5x median. Apply a 25% numerical adjustment (11.5 × 0.75 = 8.625, rounded 8.6x) for Amplifon's ~70% retail mix and GN integration, consistent with Citi's documented peer discount. The difference between 8.625x and 8.6x is 0.3%. A 1x multiple change moves value by ~€2.41/share. No extra generic execution haircut is applied. ¹ No like-for-like forward sales estimates were verified at this observation time; forward P/S is omitted from the valuation.

The recovery is real but should be read carefully: Q3 organic growth was 3.6% while reported revenue rose 2.1%; portfolio pruning under Fit4Growth reduced sales by 3.9 percentage points. Q3 adjusted EBITDA rose 7% to €114.8m and margin increased 90 bps to 20.0%. Adjusted 9M EBITDA improved 4.5%, while reported 9M EBITDA fell 2.5% to €380.6m; the difference includes GN transaction and restructuring costs.
Adjusted FCF rose to €79.1m from €33.2m, partly helped by lower net investment (€64.3m versus €90.2m). Reported FCF was €56.3m. Dividends of €63.8m consumed more than reported FCF, so cash generation remains a key monitoring item ahead of the GN financing. The €1,052.8m net-debt figure excludes the earmarked €448.1m equity proceeds; actual September net debt including those proceeds was €604.7m. The post-close bridge starts from pro-forma debt and subtracts the earmarked equity proceeds once.
Business model and the next chapter
Q3 regional organic growth was 3.5% in EMEA, 3.3% in the Americas and 4.2% in APAC. EMEA produced €356.6m Q3 sales and a 24.7% adjusted EBITDA margin; the Americas €121.7m and 21.4%; APAC €96.7m and 24.8%. The 9M regional sales mix was EMEA €1,132m, Americas €350m and APAC €278m. The U.S. managed-care exit and clinic closures make reported growth look weaker than like-for-like demand.
GN Hearing contributed about €1bn 2025 revenue and €220m pro-forma carved-out adjusted EBITDA, according to the acquisition release. Management identifies €60–80m annual net EBITDA synergies by end-2029, chiefly through insourcing volumes. These are future benefits, not current earnings. The base valuation gives only probability-weighted credit and requires closing, product/channel integration and continued retailer neutrality.
Q3 confirms operating improvement, while the October 30 sell-off and the October 29 approval of 56m new GN shares change the per-share risk and potential return. The value depends on post-transaction cash flows and all shares expected at closing.
Risk grid — what could defeat the investment thesis
Governance check: the May 2026 accelerated bookbuild and October 2026 seller-share authorization are material equity issuance events, both included above. No reliable evidence of a new issuer-specific class action, short-seller allegation or large insider sale in the last 90 days was found in the reviewed sources; absence of a found report is not proof of absence.

Investor summary
- Organic growth and margins improved across all three regions in Q3, despite deliberate store and contract exits.
- Base €14.42 includes GN's €220m EBITDA, €1.69bn cash price, 56m seller shares and modest synergy option value.
- Closing terms, financing, reported cash flow and 2027 margin delivery must validate the apparent discount.
At the indicative €11.29 price, base upside is about 28%; bear downside is about 27%. The two are nearly symmetric, so the sell-off alone does not create a hard-floor asymmetric opportunity. The case rests on execution and a narrower valuation discount versus the hearing-care peer group.
