Verdict: Caution — scaling still to prove

Aurora has delivered more than 500,000 commercial miles without a driver, but the economics remain early: Q3 revenue was $3M against a $257M operating loss. Manufacturing is six weeks behind plan and the 2026 revenue outlook fell to about $9M. The base value is $5.60 per share, roughly 33% above the observed $4.20 price, but it requires 20,000 paying DaaS trucks by 2030. New ATM capacity and large shareholder sales add financing and ownership risk. The decisive evidence will be deployed, billable trucks and binding DaaS contracts.

💡 Fair Value — 2030 fleet-based discounted enterprise value
Fair value base case
USD 5.60
Range: USD 0.43-USD 10.4
Price at analysis date: USD 4.20 (30/10/2026)
Base upside/downside: +33%

This is a 2030 terminal-value scenario, not a 12-month price target. Base 2030 sales of $4.45B equal 20,000 DaaS trucks × 250,000 annual miles × $0.85/mile plus 500 TaaS trucks × 200,000 miles × $2/mile. Applying 5× EV/sales and discounting 4.17 years at 14% gives roughly $12.9B present enterprise value. The 5× assumption follows a current peer forward EV/revenue median near 3.7× plus ~35% for a modeled 60% gross margin and recurring DaaS mix; the premium is an analytical judgment, not an observed future multiple. Add $1.034B Sep 30 liquidity and $0.766B assumed equity proceeds, then subtract $1.80B cash use; cash ends near zero. The $0.766B raise at $4.20 implies ~182M shares, plus ~98M modeled employee equity, for 2.30B total versus 2.020B current. The ATM authorization is capacity, not cash already raised. Future burn is undiscounted in the bridge, a conservative simplification; timing, safety, utilization and financing price can move value sharply. Bull/base/bear probabilities are 25/50/25; their simple weighted value is ~$5.52. ⚠️ Not investment advice.

Only 6k DaaS trucks at 250k miles and $0.85/mile plus 500 TaaS trucks; 3× sales, $1.5B net funding need and 2.50B shares. Safety, production or customer-conversion setbacks dominate.

Commercial proof is strengthening
Q3 letter reports 20+ driverless trucks built and entering service, 100% on-time delivery across more than 500k commercial driverless miles, and a 500-truck Charger Logistics MOU for 2027–28. The MOU is expressly non-binding.
Methodology note: FY26 revenue is too small for a meaningful current-year sales multiple. Value is modeled from 2030 paying vehicles, pricing per mile and future funding. Peer P/S is context only because truck autonomy has no clean public equivalent.

Sep 30 cash $141M plus short-term investments $893M = $1.034B. No funded borrowing is reported, but operating leases total $80M. On Oct 28, Aurora expanded its ATM sale capacity to $1.0B, including $245.8M previously remaining; this is potential issuance, not proceeds in cash. Only the 1.730B Class A line appears on some quote pages; valuation uses all 1.730B Class A plus 290M Class B shares outstanding on Oct 21. Public and private warrants expire Nov 3, 2026; AUROW trading is expected to cease after Nov 2.

Business model — autonomous freight

What Aurora sells
Aurora develops the Aurora Driver autonomous driving system for trucks. In the current Transport as a Service (TaaS) phase, Aurora owns/operates trucks and bills freight at about $2 per mile including fuel surcharge, according to its September 2026 Investor Day. The intended asset-light Driver as a Service (DaaS) model puts truck ownership with carriers and charges Aurora approximately $0.85+ per mile for the driver technology. Management says some current trucks exceed 225k annualized miles and targets ~250k miles per DaaS unit. The shift can improve capital intensity but only if carriers sign binding orders, integrate sites and achieve safe utilization.

TaaS launch fleet ~$2/mile incl. fuel Ramping Aurora bears fleet capex, fuel and operations. Management intends to cap its owned fleet near 500 trucks; current negative gross margin must reverse. DaaS core platform ~$0.85+/mile Commercial launch ahead Carrier-owned trucks use the Aurora Driver. Charger and Hirschbach each indicated 500-truck intentions, but neither MOU is a binding order. Hardware ecosystem No separate segment revenue disclosed Integration Roush upfits, Volvo/PACCAR integrate and AUMOVIO develops next-generation hardware. The Q3 filing reports a single segment; these are operating levers, not separately reported businesses.

Legal, regulatory and risk analysis

Ramp execution
High
Roush output was constrained by materials, component quality and end-of-line testing. A six-week slip already cut the 2026 revenue guide by 40% from the $15M midpoint.
Cash runway and equity issuance
High
$1.034B liquidity equals about four quarters at management’s ~$250M expected Q4 2026 total cash use, not a committed multi-year runway. The Oct 28 ATM expansion permits up to $1B additional Class A sales; future drawdowns can dilute holders. The base model assumes $766M proceeds and 182M new financing shares at the observed price, plus employee equity.
Non-binding demand
High
The 500-truck Charger MOU and 500-truck Hirschbach intention are not signed binding deliveries. Conversion and deployed, paying trucks matter more than headline pipeline.
Safety and liability
High
A serious incident could pause lanes, create litigation, raise insurance costs and change the discount rate. 500k miles is meaningful but still a small statistical base.
Gross margin validation
High
Q3 gross loss was $5M on $3M sales. The 2030 SaaS-like margin aspiration remains unproven at scaled customer operations.
Regulatory fragmentation
Moderate
FMCSA granted a five-year warning-beacon exemption, but state-by-state rules, operational domain and federal policy remain potential constraints.
OEM and supplier dependence
Moderate
Roush, Volvo, PACCAR and AUMOVIO are essential to capacity and hardware cost. Delays or quality issues can shift cash flow materially.
Ownership and short pressure
Moderate
225.65M shares were short on Oct 15. Uber sold 72M shares on Aug 17 and 29.37M on Sep 15; the latter block was about $182M at $6.205. Director Michelangelo Volpi also reported about 2.84M shares sold around Aug 17 for roughly $20M. These transactions create supply overhang but do not prove a view on the business.

Governance check: no new company-specific SEC enforcement or material class-action event was identified in the Q3 10-Q and targeted search through this report date. That is a search result, not assurance of absence. A 2025 short-seller critique argued that mapping and terminal handoffs challenge economics; planned direct customer-site operation is a relevant test of that critique.

Aurora’s Q3 10-Q says pending legal proceedings are not considered material and reports an Oct 1, 2027-ending 10b5-1 plan by director Brittany Bagley for up to 50,000 shares. A Kerrisdale short report was published in August 2025; its claims about hub handoffs and route economics remain part of the debate, not established findings. No newer material class action or SEC enforcement action was verified in the reviewed sources.

Summary by assessment area

Operating proof
  • Driverless operations are real and customer utilization exceeds 225k annualized miles on some fleets.
  • Watch billed DaaS trucks, not installed capacity or MOUs.
Financial resilience
  • Sep 30 liquidity was $1.034B, while 9M operating cash outflow plus capex was $646M.
  • Track monthly cash use and ATM sales against paying fleet growth; the modeled raise is not in the reported cash balance.
Valuation discipline
  • Base model embeds 20k paying DaaS trucks by 2030, below management’s >30k goal.
  • At $4.20, the $5.60 base implies ~33% upside, but a $0.43 bear case illustrates severe execution and financing risk.
