Verdict: High risk · leveraged recovery

Rental pricing and utilization improved in Q2, but equity remains a thin residual claim behind large corporate debt. The November 5 results can validate or undermine the operating turn. Oro Mobility provides strategic optionality; its financing should not be mistaken for cash paid to Hertz equity holders.

💡 Fair value estimate — normalized corporate EBITDA residual
Fair value base case
USD 0.47
Range: USD 0.00-USD 0.00
Price at analysis date: USD 1.92 (02/11/2026)

Methodology. Scenario EV is derived from normalized corporate EBITDA and a peer-informed stressed multiple, then corporate net debt is subtracted once. The estimate is highly sensitive to fleet depreciation, pricing, refinancing and share count. No value is assigned to Oro in base without distributable cash flow. Not investment advice.

At 2028E EBITDA $0.75bn × 4.0x, enterprise value fails to cover corporate debt; residual common equity is zero.

warning
⚠️ Capital structure is the core risk
June 2026 net corporate debt was $5.584bn against negative $59m LTM adjusted corporate EBITDA. Consolidated equity was negative $628m. Vehicle-secured borrowings are distinct from corporate debt and cannot simply be added to an EV bridge that already includes fleet operations. A small shift in normalized EBITDA or the multiple has a large effect on equity value.

Business model

Global car rental with two reportable regions
Hertz rents vehicles through Hertz, Dollar and Thrifty brands. Airports are a key distribution channel. Profit depends on rental price, fleet utilization, vehicle residual values, depreciation and financing costs. The June quarter benefited from stronger revenue per day and a younger fleet, while recalls reduced EBITDA by about $30m year over year. Oro Mobility aims to service driver-led and autonomous fleets but remains early stage.

Americas rental Q2 2026 revenue $1.918bn Core airport and off-airport rental. Fleet cost and price spread drive returns. International rental Q2 2026 revenue $478m Europe and other markets; Q2 adjusted EBITDA $47m. Oro Mobility Revenue not separately disclosed Strategic fleet services option; do not extrapolate the $80.89m JV transaction to fully distributable equity value.
